Modalboard Terms & Conditions

These Terms of Service ("Terms") govern your access to and use of the Modalboard platform and services ("Service"), operated by Modalboard Limited, a New Zealand registered company ("Modalboard", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2.1 To use Modalboard, you must create an account and provide accurate and complete registration information. You are responsible for maintaining the security of your account and password.

2.2 You are fully responsible for all activities under your account. Modalboard is not liable for any loss or damage resulting from unauthorized account access.

3.1 Modalboard operates on a subscription basis. Fees are billed in advance on a recurring monthly or yearly cycle.

3.2 Subscriptions automatically renew unless cancelled through your account settings prior to the next billing cycle. Cancellation takes effect at the end of the current billing cycle.

3.3 All fees are non-refundable unless otherwise required by law or expressly stated in writing by Modalboard.

3.4 Failure to maintain valid payment details may result in suspension or termination of your account. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. You are responsible for any legal or collection costs incurred.

4.1 Free trials may be offered at Modalboard's sole discretion and may require valid payment information. Trials automatically convert to paid subscriptions unless cancelled prior to expiration.

4.2 Beta features are offered on an "as-is" basis and may be modified or discontinued at any time.

4.3 Modalboard may update, modify, or discontinue features of the Service at any time. We will provide reasonable notice of material changes.

5.1 Modalboard reserves the right to adjust subscription pricing or introduce charges for previously free features. Any price changes will take effect at the start of your next billing period, following at least 30 days' advance notice.

6.1 Modalboard connects with third-party services (e.g. Google Search Console, Google Analytics, YouTube, Meta) at your direction.

6.2 You authorize Modalboard to access, store, and process data from connected third-party services solely for providing the Service.

6.3 Modalboard may aggregate and anonymize data for platform improvement and analytics, provided no personally identifiable information is included.

7.1 Modalboard's use of Google user data fully complies with the Google API Services User Data Policy, including Limited Use requirements.

7.2 You may revoke Modalboard's access to your Google account at any time via your Google account settings.

8.1 Modalboard uses artificial intelligence and machine learning to generate reports and insights. AI-generated content is provided for informational purposes only.

8.2 You are responsible for independently verifying any AI-generated output before making decisions based on it.

9.1 You retain ownership of any content you upload to Modalboard. You grant Modalboard a license to use, display, and process your content solely to provide the Service.

9.2 You are responsible for ensuring your content does not violate any applicable laws, regulations, or third-party rights.

10.1 All intellectual property in the Modalboard platform, including software, designs, and trademarks, is owned by Modalboard or its licensors.

10.2 You may not copy, modify, reverse engineer, or redistribute any part of Modalboard without written permission.

11.1 Modalboard may reference or link to third-party services. Modalboard does not control or assume liability for third-party services or content.

12.1 Both parties agree to maintain the confidentiality of all non-public information exchanged in connection with the Service.

13.1 Either party may terminate these Terms at any time.

13.2 Modalboard may suspend or terminate accounts for violation of these Terms, non-payment, or legal compliance.

14.1 You agree to indemnify and hold harmless Modalboard and its affiliates from any claims, liabilities, or damages arising from your use of the Service or your violation of these Terms.

15.1 Modalboard shall not be liable for any indirect, incidental, or consequential damages.

15.2 Modalboard's total liability shall not exceed the subscription fees paid by you during the six months preceding the claim.

16.1 The Service is provided "as is" and without warranties of any kind.

16.2 Modalboard does not guarantee uninterrupted operation, error-free performance, or specific results.

17.1 These Terms are governed by the laws of New Zealand. Disputes shall be resolved in New Zealand courts.

18.1 If any provision of these Terms is held invalid, the remaining provisions remain enforceable.

19.1 We may update these Terms periodically. Continued use after updates constitutes acceptance.
